Terms of Service

These Terms of Service ("Terms") govern your access to and use of Ryder's Ultimate Vendor Portal (the "Service"), operated by Henning Automotive Group LLC ("we," "us," or "our"). By creating an account, subscribing, or using the Service in any way, you agree to be bound by these Terms.

1. The Service

The Service is a software-as-a-service platform for trading-card vendors, providing inventory management, point-of-sale, accounting reports, customer purchase orders, and related tools. We may add, modify, or remove features at any time.

2. Eligibility & account

You must be at least 18 years old and able to enter into a binding contract. By signing up, you represent that the business information you provide is accurate and that you have authority to bind the business you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Subscription & billing

Paid subscriptions are billed in advance on a recurring basis (monthly or annual, as selected at checkout). All prices are in U.S. dollars and exclusive of any applicable taxes. Payment processing is handled by Stripe, Inc.; by subscribing you also agree to Stripe's terms.

Cancellation. You can cancel anytime via the Account → Billing page. Cancellation takes effect at the end of the current billing period; you retain access until then. Partial-month refunds are not provided.

Failed payments. If a charge fails, we may retry for up to 14 days and may suspend or downgrade your account until payment is resolved.

Price changes.We may change subscription prices with at least 30 days' notice via the email on file. Continued use after the change date constitutes acceptance.

5. Your data

You retain all rights to the business data you upload (inventory, sales records, customer information, etc.). You grant us a limited license to host, process, and transmit that data solely to operate the Service for you. Our handling of personal information is described in our Privacy Policy.

You may export your data at any time via the in-app CSV export tools. Upon account closure, your data is retained for 30 days (in case of restoration) then permanently deleted, except where retention is required by law.

6. Intellectual property

The Service, including all software, design, and brand assets, is the property of Henning Automotive Group LLC and is protected by copyright, trademark, and other laws. You receive a non-exclusive, non-transferable license to use the Service while your subscription is in good standing. Nothing in these Terms transfers ownership of the Service to you.

7. Third-party services

The Service integrates with third parties including Stripe (payments), Supabase (database/auth), Vercel (hosting), pokemontcg.io, Scryfall, YGOPRODECK, and PriceCharting (card catalog and pricing). Their availability and accuracy are outside our control. Prices and card data are provided "as is" for reference only and do not constitute appraisal or financial advice.

8. Termination

You may close your account at any time. We may suspend or terminate your account, with or without notice, for breach of these Terms, non-payment, or activity that creates risk or possible legal exposure for us. Upon termination, your right to use the Service ends immediately; sections that by their nature should survive (intellectual property, limitation of liability, indemnification, governing law) will survive.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any defects will be corrected.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL HENNING AUTOMOTIVE GROUP LLC OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

11. Indemnification

You agree to defend, indemnify, and hold harmless Henning Automotive Group LLC and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms.

12. Governing law & dispute resolution

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the seat of arbitration in Spokane, Washington. The prevailing party may recover reasonable attorneys' fees and costs. You waive any right to participate in a class action or class-wide arbitration.

13. Changes to these Terms

We may revise these Terms from time to time. Material changes will be announced via the email on file or an in-app notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
